GENERAL TERMS AND CONDITIONS OF SALE NEW MASCHERPA SRL
These General Terms and Conditions of Sale apply to all sales of goods for any reason made by
New Mascherpa srl, with registered office at via Meucci 13, Pozzo d’Adda, Milan.
By accepting the offer, these terms and conditions of sale are also accepted.
ORDERS:
Customer purchase orders are considered irrevocable proposals. Each customer order must clearly specify the type of products covered by the order. Where a deposit is required at the time of order, the order is considered finalized only upon payment of the deposit and sending of the relevant receipt to info@newmascherpa.it.
DRAWING ACCEPTANCE AND CONFORMITY:
Once the order confirmation is issued, New Mascherpa will send the customer the detailed or assembly drawings for dimensional acceptance.
Production can only begin after such acceptance, and the production timeline starts from the date the drawing acceptance communication is sent.
The customer has the right to request further details within 5 days if the drawings are not deemed sufficient to proceed with their acceptance.
If the customer does not respond within 5 working days from the sending of the drawings, they will be considered approved and production will proceed.
If, once the drawings have been accepted, the part or equipment should differ from the installed or requested but is in accordance with the drawings, New Mascherpa is relieved of any responsibility for non-conformity.
DELIVERY TIMES:
The delivery times in the offer are indicative. The actual delivery date is confirmed upon receipt of the order through the issuance of the order confirmation document (OC) and is linked to the acceptance of the production drawings as per the previous paragraph.
Requested advances compared to the deadline indicated in the offer, if granted, may result in extra costs to be estimated during negotiation.
DELAYS/ADVANCES:
Any delays do not entitle the customer to compensation or cancellation of orders, unless specifically defined at the time of contract signing.
If, due to the customer's responsibility, the goods are not collected or authorized for shipment within 5 days from the delivery confirmation date specified in the order confirmation (OC) or subsequent communications, storage charges of 8.00 euros + VAT per square meter per day of delay will be applied.
TRANSPORT
Unless otherwise agreed between the parties, the goods travel at the risk and peril of the recipient, therefore New Mascherpa S.r.l. is not liable for any theft and/or damage and/or total or partial shortages. The risk of damage or loss of the product passes to the recipient at the time of shipment. The goods are shipped insured only if expressly requested by the Customer, with a surcharge for the service.
When the goods are shipped carriage paid:
- unloading to the ground is not included unless explicitly requested in the contract.
-if the destination requires access with special vehicles or outside regular daytime hours, any extra costs will be charged to the customer.
It is important that the Customer, upon receipt of the goods, checks that:
Any damage or discrepancy in the number of packages, as well as any delivery delays, must be immediately contested to the carrier making the delivery, by noting "collected with reservation for missing and/or damaged no.... packages" on the appropriate fiscal document and confirmed by e-mail to New Mascherpa S.r.l. within eight calendar days. Even if the packaging is intact, the goods must be checked within 8 calendar days of receipt. Any hidden damage must be reported within eight calendar days to New Mascherpa S.r.l.. Any report beyond the above terms and/or by means other than those indicated above will not be considered. The Customer assumes full responsibility for every declaration. Once the carrier's document is signed, the Customer may not raise any objection regarding the external characteristics of the goods delivered and the number of packages received.
Transport in difficult areas, access that is difficult for articulated lorries, dirt roads, and anything that may make road transport to the destination difficult must be highlighted at the request stage and may result in extra costs.
WARRANTY
We guarantee the proper functioning of our equipment and spare parts, undertaking to replace free of charge, ex our factory, those parts that become unusable due to manufacturing defects or material deficiencies within 2 years from the date of shipment of the material, without any further compensation for damages.
ATTENTION: If the customer requests the replacement of a part, or the maintenance of equipment where the switch is installed, ANIE rates apply for the intervention and actual travel expenses will be charged.
The warranty is excluded in the following cases:
a) installation, maintenance, and use in contrast with the instructions and warnings provided by New Mascherpa srl or in contrast with applicable laws or technical specifications;
b) tampering
c) damage due to natural events or force majeure or in any case not attributable to original defects of the product.
COURSES
Training courses must be paid for as per the offer conditions.
Cancellation of participation by one or more participants does not entitle to refunds or discounts.
It is possible to change the participant by notifying info@newmascherpa.it up to 24 hours before the event without additional costs.
For changes or absences not communicated within 24 hours before the course, the full cost per participant will be charged.
Courses are held at our facility in Pozzo d’Adda (MI). Any off-site courses must be quoted separately.
TYPE AND ROUTINE TESTS:
Products are supplied with routine tests. Type tests are provided if requested at the offer stage. Routine tests are issued in Italian unless otherwise requested.
The issuance of additional documents such as type tests in languages other than Italian or certifications not specified at the offer stage may result in extra costs.
PLANNING AND PRODUCTION DOCUMENTS:
Detailed planning documents will not be shared unless agreed at the order stage. A macro-phase schedule may be requested.
INSTALLATIONS AT EXTERNAL SITES AND PENALTIES FOR CANCELLATIONS AND POSTPONEMENTS:
When an on-site installation service is requested, the date must be agreed at least 30 days in advance of the intervention date.
In case of cancellation or postponement more than 30 days before the intervention date, no cost will be charged.
For postponements or cancellations between 30 and 5 days before the intervention date, 30% of the cost will be charged.
For cancellations or postponements from 5 days before the agreed date, 100% of the installation cost will be charged.
Unless otherwise specified, the intervention is considered to be during regular daytime hours from 8 am to 6 pm. The installation start time is defined as the time the system is delivered out of service. Any waiting time beyond the agreed time will be charged at the operator's hourly rate.
Hourly costs at night or on the eve of holidays are increased by 50% compared to the offer value.
Hourly costs on holidays are increased by 100% compared to the offer value.
Installations are not carried out in adverse weather conditions. In case of moderate or heavy rain, snow, strong wind, temperatures below 0°, the installation must be canceled for safety reasons without the application of penalties or sanctions.
PAYMENT TERMS:
Prices and payment terms are those agreed between New Mascherpa and the customer and must be specified in the order.
Payments are not recognized unless made directly to New Mascherpa srl.
If the agreed payment term is exceeded by more than 20 days, current interest will be charged at a minimum of 1% for each month of delay from that date.
In case of insolvency (over 20 days from the agreed payment term), ongoing or subsequent orders will have modified payment terms to “notice of goods ready”.
When payment is linked to the delivery date and the customer refuses to receive the goods, the payment terms will run from the date of notice of goods ready plus three days.
The costs of uncollected bank receipts will be charged in addition to the internal management cost of EUR 25.00 + VAT.
LAW:
For any dispute, the Judicial Authorities of Milan are deemed competent.
